TERMS AND CONDITIONS OF SALE AND SERVICE

1. Introduction

Welcome to NEXT TRADE. These Terms and Conditions govern the use of our website, the sale of products (fertilizers, chemicals, petrochemicals, and agricultural commodities), and the provision of Private Label and OEM manufacturing services.

By accessing our website or purchasing products/services from NEXT TRADE, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Definitions

· "Company," "We," "Us," "Our": Refers to NEXT TRADE.
· "Client," "You," "Your": Refers to the individual or business entity purchasing goods or services from us.
· "Products": Refers to fertilizers, chemicals, petrochemicals, and agricultural commodities.
· "Services": Refers to Private Label manufacturing, OEM manufacturing, custom formulation, and packaging services.

3. Products and Services Description

We strive to ensure that all descriptions, specifications, and pricing on our website are accurate and comply with international standards. However, we reserve the right to correct any errors, inaccuracies, or omissions without prior notice.

3.1 Private Label and OEM Services

Where we agree to provide Private Label or OEM manufacturing services:

· Custom Formulations: The Client agrees to provide accurate specifications for custom formulations. NEXT TRADE reserves the right to refuse formulations that are unsafe, illegal, or infeasible.
· Intellectual Property: The Client warrants that they hold the rights to any trademarks, logos, or branding provided to NEXT TRADE for production. The Client grants NEXT TRADE a license to use such IP solely for the purpose of manufacturing the Products.
· Minimum Order Quantities (MOQs): Private Label and OEM services are subject to MOQs, which will be agreed upon in writing during the quotation phase.

4. International Trade and Compliance

Given our specialization in international trade:

· Export Controls: The Client is responsible for complying with all local laws and regulations regarding the importation of chemicals and fertilizers into their destination country.
· Documentation: NEXT TRADE will provide standard shipping and phytosanitary documentation as required, but we are not responsible for delays or seizures caused by the Client’s failure to obtain necessary local permits.
· Product Use: The Client acknowledges that chemical and agricultural products must be handled according to Safety Data Sheets (SDS) and local regulations. NEXT TRADE is not liable for misuse or mishandling of Products after delivery.

5. Pricing and Payment

· Quotations: All quotations provided by NEXT TRADE are valid for [30] days from the date of issue, unless otherwise stated. Prices are subject to change based on market fluctuations in the commodities sector.
· Payment Terms: Payment terms (e.g., Letter of Credit, Wire Transfer) will be specified in the commercial invoice or Sales Contract.
· Taxes and Duties: Prices do not include import duties, customs clearance, or value-added taxes (VAT) unless expressly stated otherwise.

6. Shipping, Delivery, and Title

· Incoterms: All deliveries are subject to the International Commercial Terms (Incoterms) agreed upon in the Sales Contract (e.g., FOB, CIF, EXW). Risk of loss or damage to the Products passes to the Client in accordance with the chosen Incoterm.
· Delivery Delays: While we strive to adhere to shipping schedules, NEXT TRADE shall not be liable for delays caused by force majeure, port congestion, or carrier issues.
· Inspection: The Client has [7] days from receipt of goods to notify us of any visible defects or quantity discrepancies. Failure to inspect within this timeframe constitutes acceptance of the Products.

7. Quality Assurance and Claims

NEXT TRADE is committed to delivering high-quality products that comply with international standards.

· Sampling: If a "Bulk Sampling" method is agreed upon, the sample drawn at loading (by a mutually agreed inspector) will be the reference standard for quality.
· Claims: Any quality claims must be submitted in writing within [14] days of delivery, accompanied by an independent survey report. Our liability for defective products is limited to replacement of the product or refund of the purchase price, at our discretion.
8. Limitation of Liability

To the maximum extent permitted by law, NEXT TRADE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of the use or inability to use our products or services.
9. Force Majeure

NEXT TRADE shall not be held liable for any delay or failure in performance due to events outside our reasonable control, including but not limited to acts of God, war, terrorism, strikes, fires, floods, government restrictions, or global pandemics affecting the supply chain.
10. Confidentiality

During Private Label and OEM engagements, both parties may have access to confidential information (formulas, pricing, client lists). Neither party shall disclose such information to third parties without written consent.
11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of [ Al-Sharqia, Egypt].

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the website. Your continued use of the site constitutes acceptance of the revised Terms.
